End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Andreas Burget, Arts Unique ("Licensor") for the use of software products purchased through LicenseHub.

By activating a license key, you agree to be bound by the terms of this Agreement.

1. Grant of License

Upon purchase and activation, the Licensor grants you a non-exclusive, non-transferable license to use the software product, subject to the terms of this Agreement and the Terms of Service. This license may be terminated only in accordance with Section 12 of this Agreement.

2. Consumer Right of Withdrawal (EU Consumers Only)

If you are a consumer residing in the European Union, you have the right to withdraw from this contract within fourteen (14) days without giving any reason.

However, for digital products that are delivered immediately after purchase, you expressly agree that:

The execution of the contract begins immediately upon activation of the license key, and
You thereby lose your statutory right of withdrawal once the performance has begun.

By activating your license key, you confirm that you have been informed of and consent to the loss of your right of withdrawal.

If the license has not yet been activated, you may exercise your right of withdrawal within fourteen (14) days by contacting us at store@arts-unique.com.

3. License Key

Each license is identified by a unique license key.
The license key is personal to you and may not be shared, published, or transferred to any third party.
Each license permits a limited number of simultaneous activations as specified on the product page.
You are responsible for keeping your license key confidential. If you believe your key has been compromised, contact us immediately.

4. Ownership

The software, including all code, designs, assets, and documentation, remains the exclusive property of the Licensor. This license does not grant you any ownership rights, title, or interest in the software beyond the limited usage rights described in this Agreement.

5. Permitted Use

You may:

Use the licensed product for personal and commercial projects.
Install the product on multiple devices, up to the activation limit.
Create derivative works (e.g., websites, designs, applications) using the product output.
Make a reasonable number of backup copies for archival purposes.

6. Restrictions

You may not:

Redistribute, resell, sublicense, rent, lease, or share the software or license key.
Use the software to create a competing product or service.
Remove or alter any copyright notices, trademarks, or license information contained in the software.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software.
Circumvent, disable, or interfere with the license validation system.
Use the software in any way that violates applicable local, national, or international law.
Allow third parties to access or use the software through your license key.

7. License Duration

7.1 Perpetual Licenses

Valid indefinitely from the date of purchase.
Includes all updates released for the current major version at the time of purchase.
Major version upgrades (e.g., v1.x to v2.x) may require a new license or an upgrade fee.
Your license remains valid even if the software is discontinued.
Perpetual licenses cannot be transferred to another person or entity.

7.2 Subscription Licenses

Valid only for the duration of the active subscription.
Available billing intervals: monthly, quarterly (every 3 months), semi-annual (every 6 months), or annual (every 12 months).
All subscriptions renew automatically at the end of each billing period until canceled.
Includes access to all updates, new features, and major version upgrades released during the active subscription period.
Upon expiration or cancellation, the license becomes inactive and the software will cease to function at the end of the current paid billing period.
No refunds are issued for unused time within a billing period, unless required by applicable law.

7.3 Trial Licenses

Valid for the specified trial period only.
Limited functionality may apply as described on the product page.
Trial licenses are limited to one per person and product.
Trial licenses may not be used for commercial purposes unless explicitly stated.
At the end of the trial period, the license expires automatically. You may then purchase a full license to continue using the software.

8. Auto-Renewal

8.1 Automatic Renewal

All subscription licenses renew automatically at the end of each billing period. By purchasing a subscription, you authorize recurring charges to your payment method at the then-current subscription price.

8.2 Renewal Reminders

We will send you a reminder email at least 14 days before each renewal, informing you of the renewal date, the amount to be charged, and how to cancel.

8.3 Price Changes

If the subscription price changes, we will notify you at least 30 days before the new price takes effect. The updated price applies from your next renewal date after the notice period. If you do not agree with the new price, you may cancel before the renewal date.

8.4 Payment Failure

If a renewal payment fails, we will notify you by email and retry the charge. If payment is not resolved within 14 days, your subscription will be suspended and your license will become inactive. You may reactivate by updating your payment method.

9. Cancellation

You may cancel your subscription at any time. There is no minimum commitment beyond the current billing period.

Customer dashboard: Log in and click "Cancel Subscription".
By email: Send your cancellation to store@arts-unique.com.

After Cancellation

Your license remains active until the end of the current paid billing period.
No further charges will be made.
After the billing period ends, the license expires and all activations are deactivated.
You will receive a confirmation email with your cancellation date and license expiry date.

Reactivation

To use the software again after expiration, you must purchase a new subscription at the then-current price. Previous license keys cannot be reactivated.

10. Updates and Upgrades

10.1 Updates

Updates are bug fixes, performance improvements, and minor feature additions within the same major version (e.g., v1.1 to v1.2).

Perpetual licenses: Updates included for the current major version at time of purchase.
Subscription licenses: All updates included during the active subscription.

10.2 Upgrades

Upgrades are major new versions with significant new features (e.g., v1.x to v2.x).

Perpetual licenses: Upgrades may require a new license or a paid upgrade. We may offer discounted upgrade pricing to existing customers.
Subscription licenses: Upgrades are included at no additional cost during the active subscription.

10.3 No Obligation to Update

We are under no obligation to provide updates or upgrades. If we discontinue a product, existing perpetual licenses remain valid for the last available version.

11. Support

Support is provided via email at store@arts-unique.com. We will make reasonable efforts to respond within 2 business days.

Subscription licenses: Support is available during the active subscription period.
Perpetual licenses: Support is provided for 12 months from the date of purchase.
Support covers technical issues related to the licensed product only. We do not provide support for third-party integrations, custom modifications, or general design/development questions.

12. Data and Privacy

The software may communicate with our servers for the following purposes:

License key validation and activation.
Checking for available updates.

For the purpose of license validation and activation, limited technical data (such as IP address, device information, and domain or installation identifier) may be processed.

No personal data beyond what is described in our Privacy Policy is collected or transmitted. The software does not include analytics, tracking, or telemetry beyond license validation.

13. Termination

This license is effective until terminated. It will terminate automatically if:

You fail to comply with any term of this Agreement.
Your subscription expires or is canceled (for subscription licenses).
Payment fails and is not resolved within 14 days.
You attempt to circumvent the license validation system.

Upon termination:

You must cease all use of the software immediately.
You must delete or destroy all copies of the software in your possession.
All license activations will be deactivated.
Termination does not entitle you to a refund, unless required by applicable law, including statutory consumer rights.

The Licensor may also revoke your license in accordance with the Terms of Service. Before revocation for reasons other than clear abuse, we will attempt to contact you and resolve the issue.

14. Disclaimer of Warranties

The software is provided "as is" and "as available", to the maximum extent permitted by applicable law.

The Licensor does not warrant that:

The software will meet your specific requirements.
The software will be uninterrupted, timely, secure, or error-free.
The results obtained from use of the software will be accurate or reliable.
Any errors in the software will be corrected.

Nothing in this Agreement excludes or limits any statutory rights that cannot be excluded under applicable consumer protection laws.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the software, including but not limited to loss of profits, data, business opportunity, or goodwill.

The Licensor's total aggregate liability shall not exceed:

Perpetual licenses: The amount paid by you for the license.
Subscription licenses: The total subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, even if the Licensor has been advised of the possibility of such damages.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

The limitations of liability in this section shall apply only to the extent permitted by applicable law and shall not affect mandatory statutory rights of consumers.

16. Indemnification

You agree to indemnify and hold harmless the Licensor from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the software in violation of this Agreement or applicable law.

17. Third-Party Components

The software may include open-source or third-party components subject to their own license terms. A list of such components and their licenses is available upon request. Nothing in this Agreement limits your rights under those licenses or imposes restrictions beyond what those licenses permit.

18. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from this Agreement. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Licensor regarding the use of the software and supersedes all prior agreements, understandings, and communications, whether written or oral.

20. Assignment

You may not assign or transfer this Agreement or any rights granted hereunder without the prior written consent of the Licensor. The Licensor may assign this Agreement without restriction.

21. Waiver

The failure of the Licensor to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it at a later time.

22. Governing Law

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If you are a consumer within the EU, you also benefit from the mandatory consumer protection provisions of your country of residence. Nothing in this Agreement affects your statutory rights as a consumer.

If you are entering into this Agreement as a consumer, mandatory consumer protection laws may provide you with additional rights that override certain provisions of this Agreement.

If you are acting as a business, the provisions of this Agreement shall apply to the fullest extent permitted by law.
